Upcoming Space IPOs and SPACs: Who Has Filed in 2026

Four space IPOs priced in 2026 and three space SPACs listed. Who has publicly filed, who is only rumored, and how to spot the next S-1 on EDGAR.

By Martian Alpha Research6 min read

Four space companies have priced US IPOs in 2026: York Space Systems (January), HawkEye 360 (May), Applied Aerospace & Defense (June) and SpaceX (June). Three space-focused SPACs have also listed, none of which had announced a target at our EDGAR check on October 14. As of that check, no other private space operating company had a public S-1 on EDGAR. Axiom Space and Sierra Space have been reported to be considering listings, but a report is not a filing. This is research, not financial advice.

The 2026 space IPOs that have already priced#

Each row comes from the company's final prospectus (424B4) and its pricing release.

CompanyTicker / exchangePricedOffer
York Space SystemsYSS / NYSEJan 28, 202618,500,000 shares at $34.00 (424B4)
HawkEye 360HAWK / NYSEMay 6, 202616,000,000 shares at $26.00 (424B4)
Applied Aerospace & DefenseAADX / NYSEJun 2, 202632,500,000 shares at $20.00 (424B4)
SpaceXSPCX / NasdaqJun 11, 2026555,555,555 Class A shares at $135.00, about $75.0 billion gross (pricing release)

Each of these also set a lock-up for pre-IPO holders; the dates are in our space IPO lock-up calendar.

Not IPOs: look-alikes that trip up lists#

Several 2026 filings look like space IPOs in a keyword search but aren't:

  • Firefly Aerospace filed a final prospectus on May 28, 2026 for a follow-on offering by the company and selling holders at $48.00, not an IPO.
  • Starfighters Space filed a resale registration in September 2026 while already listed on NYSE American.
  • Hacker Interstellar filed an F-1/A in September 2026. Despite the name, it describes itself as a voice social-networking company.
  • Rothe Development, Inc. has a public S-1/A (October 5, 2026) for an initial public offering of Class B shares, applying to list on Nasdaq as RDEV, with no price range yet. EDGAR files it under "Guided Missiles & Space Vehicles & Parts", but the prospectus describes a defense and mission-critical IT business and discusses the commercial space economy as a market, so we don't count it as a space IPO.
  • Non Invasive Monitoring Systems (OTC: NIMU) filed S-1/As on October 6 and 13, 2026 and says it intends to search for acquisition targets in the space industry. It has no space business to analyze yet.

A prospectus that mentions "satellite" or "aerospace" isn't evidence of a space business, and a 424B4 or 424B3 doesn't always mean an IPO.

Space SPACs: three listed, targets not announced#

A SPAC is a listed shell that raises money first and finds a company to merge with later. Three space-focused SPACs priced in 2026:

SPACTicker / exchangePricedSize
Space Asset Acquisition Corp.SAAQU / NasdaqJan 27, 202620,000,000 units at $10.00; closed at 23,000,000 units with the over-allotment (SpaceNews)
FutureCorp Space Acquisition 1FTRAU / NYSEJun 4, 202620,000,000 units at $10.00; 23,000,000 after the over-allotment (SEC 424B4)
Karman Line Acquisition Corp.XTERU / NasdaqAug 17, 202620,000,000 units at $10.00 (SEC 8-K)

None had announced a target when we checked on October 14, 2026: EDGAR shows no business-combination announcement from any of the three (Karman Line's latest filings were a 10-Q on October 1 and an annual-meeting proxy; FutureCorp's latest 8-K was July 22 and Space Asset's latest 10-Q August 3). A SPAC investor holds a bet on management and a future deal, not on a space business that exists yet. The SPAC's own 10-Q and 8-Ks are where a deal announcement appears first.

Who is rumored but hasn't filed#

Press reports and trackers list private space companies as possible future listings. The reports we found are secondary, so treat them as leads, not facts:

  • Sierra Space. The Information reported in June 2026 that it could list by the end of the year, according to secondary summaries. The company announced a $550 million equity investment at an $8 billion post-money valuation in March 2026.
  • Axiom Space. The same outlet reported in June 2026 that it was pushing toward an IPO within roughly 12 months, again per secondary summaries.
  • Others on tracker lists include Stoke Space, K2 Space, Impulse Space, Relativity Space, True Anomaly, Vast and Varda. Trackers differ on timing, and none of these had a public S-1 in our October 14 EDGAR search.

A confidential draft registration statement isn't public until the company files it publicly, so "no S-1 on EDGAR" doesn't prove nothing is in motion. It does mean there is nothing to read yet.

How to spot the next one before the headlines#

  1. Watch EDGAR for S-1 and F-1 filings using EDGAR full-text search, then check the business description before adding a company to a list. Our S-1 guide explains what to read first.
  2. Check the private round trail. Form D filings show when a company raised money privately; see the Form D guide.
  3. Wait for the price range. The first public S-1 usually has no price. The amended S-1/A adds a range; the 424B4 fixes the terms.
  4. Note the lock-up date in "Shares Eligible for Future Sale" the day the prospectus is filed.
  5. Check the filing type before calling something an IPO: IPO, follow-on, resale registration and SPAC units are all different events.

The same logic runs through our filing-by-filing guide to researching space stocks.

Where Martian Alpha fits#

Martian Alpha's free Catalyst Feed lists earnings, filings, contract awards, launches and insider trades for tracked space companies, so a listed company's post-IPO events land in one place, and company pages hold each ticker's profile. It doesn't publish a curated list of upcoming IPOs, and this article's tables were compiled by hand from EDGAR and press releases. For a first read on any new filing, EDGAR itself is the source.

FAQ#

Which space companies IPO'd in 2026?#

York Space Systems (YSS, January), HawkEye 360 (HAWK, May), Applied Aerospace & Defense (AADX, June) and SpaceX (SPCX, June). Voyager Technologies listed in 2025.

Is Sierra Space or Axiom Space going public?#

Both have been reported to be considering listings, but as of October 14, 2026 neither had a public S-1 or F-1 on EDGAR in our search. Until one is filed, there are no terms, price range or financials to analyze.

Is a space SPAC the same as a space IPO?#

No. A SPAC IPO raises cash into a shell with no operating business. A merger with a target comes later, and its details appear in 8-Ks and proxy filings.

How do I find a space company's S-1?#

Search the company name on EDGAR and filter for S-1 or F-1 forms. A first S-1 may lack a price range; an amended S-1/A adds it.

Is this a recommendation to buy IPO shares?#

No. It describes which filings exist and where to read them. It isn't investment advice.
